22. Indemnification

You agree to indemnify, defend and hold harmless MAHINDRA AERO, its subsidiaries, affiliates, representatives, employees, vendors, contractors, directors, suppliers, agents and their respective directors, officers, employees, contractors and agents (herein after individually and collectively referred to as “Indemnified Parties”) from and against any and all losses, liabilities, claims, suits, proceedings, penalties, interests, damages, demands, costs and expenses (including legal and other statutory fees and disbursements in connection therewith and interest chargeable thereon) asserted against or incurred by the Indemnified Parties that arise out of, result from, or in connection with (i) Your breach of the terms of this Agreement ; or (ii) any claims made by any third party due to, or arising out of, or in connection with, Your use or misuse of the Website; or (iii) any claim that any Content / User Contributions / Third Party Content, information or materials provided by You caused damage to a third party including but not limited to by way of infringement of an intellectual property of the third party; or (iv) Your violation of any rights of another, including any intellectual property rights. (v) any fraud, negligence or misconduct by You (vi) violation of any applicable laws, regulations including but not limited to that of intellectual property rights, payment of statutory dues and taxes etc. We reserve the right to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you will assist and cooperate with MAHINDRA AERO in asserting any available defences.
23. MAHINDRA AERO may notify You of any claims which You shall be liable to indemnify MAHINDRA AERO against. You will then be required to consult with MAHINDRA AERO regarding the course of action to be undertaken in defending such a claim. Further, you shall not compromise or settle any claim or admit any liability or wrongdoing on the part of MAHINDRA AERO without the express prior written consent of MAHINDRA AERO which can be withheld or denied or conditioned by MAHINDRA AERO in its sole discretion.
24. Limitation of Liability: MAHINDRA AERO assumes no liability whatsoever for any monetary or other damage suffered by You on account of: (a) The delay, failure, interruption, or corruption of any data or other information transmitted in connection with use of the Website; (b) Any interruption or errors in the operation of the Website. Notwithstanding anything to contrary in the Agreement(s), in no event shall MAHINDRA AERO, its subsidiaries or affiliates and their respective officers, directors, employees, partners or suppliers be liable to You for any special, incidental, indirect, consequential, exemplary or punitive damages whatsoever, including those resulting from loss of use, data or profits, whether or not foreseeable or whether or not MAHINDRA AERO has been advised of the possibility of such damages, or based on any theory of liability, including breach of contract or warranty, negligence or other tortious action, or any other claim arising out of or in connection with Your use of or access to the Website, services, content, User Contributions or third party content. MAHINDRA AERO’s entire and aggregate liability to You under and in relation to these Terms of Use or otherwise shall not exceed Rupees One Thousand Only (Rs.1000/-).
25. Severability
    In the event that any provision of this Agreement is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from this Agreement, such determination shall not affect the validity and enforceability of any other remaining provisions.
26. Termination
    Your Agreement with us as a User shall continue until terminated in accordance with the terms of this Agreement. We may terminate the Terms of Use at any time and may do so immediately even without notice, and accordingly deny you access to the Website. Such termination will not give us any liability to bear. You may terminate this Agreement at any time by informing us in writing at [email protected], that you no longer wish to be associated with this Website, provided that that you discontinue any further use of it.

Upon termination you must promptly destroy all the materials downloaded or obtained from this Website (including copies).

19. Governing Law and Dispute Resolution
    The Agreement shall be construed in accordance with the laws of India. All the dispute or difference either in interpretation or otherwise, of any provision of the Terms of Use, shall be referred to a sole arbitrator who will be appointed by the Company and such arbitrator’s decision shall be final and binding. The arbitration shall be conducted in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time. The seat of arbitration shall be Mumbai. The arbitration proceedings shall be in the English language.

Subject to the above, the courts at Mumbai shall have exclusive jurisdiction in any proceedings arising out of or in connection with these Terms of Use. Notwithstanding anything to the contrary contained in the Terms of Use, we reserve, at our sole discretion, our right to seek equitable remedies including by way of injunctive relief before any court of competent jurisdiction.

20. No Waiver
    Our failure to act with respect to your breach of the Terms of Use does not tantamount to a waiver of our right to act with respect to subsequent or similar breaches, unless we waived it through writing.
21. AUDIT
    A. MAHINDRA AERO at all times reserves its right, but not an obligation, to audit the content, User Contributions, features available on Website or any other material or information posted/uploaded by the User. If at any time, in sole discretion of MAHINDRA AERO, MAHINDRA AERO determines that any User Contributions or any other material or feature of the Website is in contravention of any law for the time being in force or spirit of the terms and conditions of this Agreement or violates the privacy of any person, then MAHINDRA AERO may either remove or edit or block such material without any notice.
22. Though MAHINDRA AERO does not pre-screen the User Contributions, yet that MAHINDRA AERO and its designees shall have the right (but not the obligation) in their sole discretion to accept, refuse, move, or remove any contents that are available via the Website.
23. Notwithstanding the above-said right, you acknowledge and understand that all User Contributions, whether publicly posted or privately transmitted, are the sole responsibility of the person from which such User Contributions originated. This means that You, and not MAHINDRA AERO, are entirely responsible for all User Contributions that you have provided MAHINDRA AERO with, in order to upload, post, transmit or otherwise make available via the Website. Therefore, it is advised to You that You should not involve in any such activities or use which violate any applicable law, rules, regulation or breach the terms and conditions of this Agreement.
25. Notice
    a. Notice: All notices under the Terms of Use will be in writing and will be deemed to have been duly given when received, if personally delivered or sent by certified or registered mail, return receipt requested; when receipt is electronically confirmed, if transmitted by facsimile or e-mail; or the day after it is sent, if sent for next day delivery by recognized overnight delivery service to the address appearing below;

23. Entire Agreement
